Kirin Holdings Company has agreed to acquire 100 per cent of the outstanding common shares of Canadian vitamins, minerals and supplements (VMS) company Jamieson Wellness Inc., strengthening its presence in North America’s health and wellness market.
Under the agreement, Kirin will acquire all outstanding common shares of Jamieson Wellness through a shareholder and court-approved plan of arrangement under the Business Corporations Act (Ontario). The transaction is subject to shareholder and court approval, regulatory clearances and other customary closing conditions. Completion is expected in the fourth quarter of 2026.
Founded in 1922, Toronto-headquartered Jamieson Wellness has more than a century of experience in the VMS sector and holds a leading position in the Canadian supplements market. The company expanded its US presence through the 2022 acquisition of Nutrawise Health & Beauty Corporation, strengthening its portfolio around the youtheory brand and building a broader North American sales network.
For Kirin, the acquisition represents a strategic step towards establishing a health science business platform in North America, the world’s largest supplements market. The company has identified Health Science as a key driver of its medium- to long-term growth under its 2035 Vision.
Kirin established Kirin Health Science International (KHSI) in 2026 to integrate the health science assets and capabilities of its group companies, including brands, sales networks, research and development, and marketing expertise. Its health science portfolio in Asia and Oceania has also been strengthened through the acquisitions of Blackmores and FANCL.
Kirin expects the combination with Jamieson Wellness to generate synergies through the mutual use of sales networks, development of products featuring high-value-added ingredients, enhanced R&D and product development, joint procurement and operational optimisation.
The company said Jamieson Wellness’ brand equity, distribution network and integrated value chain from R&D to manufacturing and sales complement Kirin’s fermentation and biotechnology capabilities and proprietary ingredients.
Through the acquisition, Kirin aims to build a global growth platform for its Health Science business while creating sustainable value across international markets.
